NEW YORK: Technology giant Microsoft Corp said on Friday that it had offered to acquire Internet media company Yahoo Inc for USD 44.6 billion in cash and stock.
Microsoft said it had offered to buy Yahoo for USD 31 per share, which it said represented a 62 per cent premium above the company's closing stock price on Nasdaq on Thursday.
"We have great respect for Yahoo, and together we can offer an increasingly exciting set of solutions for consumers, publishers and advertisers while becoming better positioned to compete in the online services market," Microsoft Chief Executive Steve Ballmer said in a statement.
Yahoo was not immediately available for comment. Microsoft said it had identified four areas that would generate at least USD 1 billion in annual synergies for the combined entity.
Yahoo shares rose 56 per cent to $29.95 in pre-market trading on Friday following the announcement. US stock index futures also jumped after the news was released.
SUNNYVALE: Yahoo Inc has formally rejected Microsoft Corp.'s $44.6 billion takeover bid as inadequate. The response had been expected after Yahoo's intentions were leaked over the weekend.
Yahoo's rebuff raises the stakes in a battle involving two of the world's most prominent technology companies.
Many analysts expect Microsoft to raise its offer by $5 billion to $12 billion to entice Yahoo to sell. Yahoo is believed to want a bid of at least $56 billion, or about $40 per share.
Microsoft's first offer, which was made public February 1, was originally valued at $31 per share. Microsoft also could take its bid directly to Yahoo shareholders.
The decision could provoke a showdown between two of the world's most prominent technology companies with Internet search leader Google Inc. looming in the background. Leery of Microsoft expanding its turf on the Internet, Google already has offered to help Yahoo avert a takeover and urged antitrust regulators to take a hard look at the proposed deal.
If the world's largest software maker wants Yahoo badly enough, Microsoft could try to override Yahoo's board by taking its offer - originally valued at $31 per share - directly to the shareholders. Pursuing that risky route probably will require Microsoft to attempt to oust Yahoo's current 10-member board
Alternatively, Microsoft could sweeten its bid. Many analysts believe Microsoft is prepared to offer as much as $35 per share for Yahoo, which still boasts one of the Internet's largest audiences and most powerful advertising vehicles despite a prolonged slump that has hammered its stock.
Yahoo's board reached the decision after exploring a wide variety of alternatives during the past week, according to the person who spoke to The Associated Press. The person didn't want to be identified because the reasons for Yahoo's rebuff won't be officially spelled out until Monday morning.
Microsoft and Yahoo declined to comment Saturday on the decision, first reported by The Wall Street Journal on its Web site.
Yahoo's board concluded Microsoft's offer is inadequate even though the company couldn't find any other potential bidders willing to offer a higher price.
Without other suitors on the horizon, Yahoo has had little choice but to turn a cold shoulder toward Microsoft if the board hopes to fulfill its responsibility to fetch the highest price possible for the company, said technology investment banker Ken Marlin.
"You would expect Yahoo's board to reject Microsoft at first," Marlin said. "If they didn't, they would be accused of malfeasance."
But by spurning Microsoft, Yahoo risks further alienating shareholders already upset about management missteps that have led to five consecutive quarters of declining profits.
The downturn caused Yahoo's stock price to plummet by more than 40 percent, erasing about $20 billion in shareholder wealth, in the three months leading up to Microsoft's bid.
Seizing on an opportunity to expand its clout on the Internet, Microsoft dangled a takeover offer that was 62 percent above Yahoo's stock price of just $19.18 when the bid was announced Feb. 1. Yahoo shares ended the past week at $29.20.
Led by company co-founder and board member Jerry Yang, Yahoo now will be under intense pressure to lay out a strategy that will prevent its stock price from collapsing again. What's more, Yang and the rest of the management team must convince Wall Street that they can boost Yahoo's market value beyond Microsoft's offer.
Yahoo's shares traded at $31 as recently as November, but have eroded steadily amid concerns about the slowing economy and frustration with the slow pace of a turnaround that Yang promised last June when he replaced former movie studio mogul Terry Semel as Yahoo's chief executive officer.
This isn't the first time that Yahoo has spurned Microsoft. The Redmond, Wash.-based company offered $40 per share to buy Yahoo a year ago only to be shooed away by Semel, according to a person familiar with the matter. The person didn't want to be identified because that bid was never made public.
Yahoo now may want that Microsoft to raise its price to at least $40 per share again. That would force Microsoft to raise its current offer by about $12 billion - a high price that might alarm its own shareholders.
Microsoft's stock price already has slid 12 percent since the company announced its Yahoo bid, reflecting concerns about the deal bogging down amid potential management distractions, sagging employee morale and other headaches that frequently arise when two big companies are combined.
Although it isn't involved directly in the deal, Google is the main reason Yahoo is being pursued by Microsoft.
Yahoo has struggled largely because it hasn't been able to target online ads as effectively as Google.
Microsoft believes Yahoo's brand, engineers, audience and services will provide the company with valuable weapons in its so far unsuccessful attempt to narrow Google's huge lead in the lucrative Internet search and advertising markets.
As it examined ways to thwart Microsoft, Yahoo considered an advertising partnership with Google - an alliance long favoured by analysts who believe it would boost the profits of both companies. It was unclear Saturday if Yahoo's plans for boosting its stock price include a Google partnership, which would probably face antitrust issues.
A Microsoft takeover of Yahoo would also be scrutinized by antitrust regulators in the United States and Europe. The antitrust uncertainties could be cited as one of the reasons that Yahoo's board decided to spurn Microsoft.

5.You will need to add a new password in the New password and the Confirm new password boxes, and confirm by clicking OK.

Today's iPhone hack-du-jour uses iTunes preview files for ringtones. As you probably know, iTunes freely offers short audio samples of its entire library.
You can easily download these samples from iTunes and install them onto your iPhone as custom ringtones. Since your iPhone is authorized to your account, you'll be able to play back these otherwise protected audio snippets as ringtones.
Here are the steps to take to make this work for you:
1. Create a new playlist. Drag unpurchased songs from the iTunes store into your playlist. The songs will retain their "Add Song" buttons and their price within the playlist.
2. Export your playlist. Select the playlist in the sources column. Control-click/Right-click the playlist name and choose Export Song List from the pop-up menu.
3. Save the playlist as plain text. Select Plain Text from the Format pop-up and save the playlist file to your desktop.
4. Open the playlist file. It is a tab-delimited file of columns, so you can open it up in Excel (my preference, make sure to option-drag the text file onto the Excel icon) or a text editor like TextEdit.
5. Locate the file URLs. Each file URL appears in the final Location column for each line. Copy the URL.
6. Download the files. In Safari 3.0, open the Downloads window (Windows->Downloads). Paste the URL into the Download window and allow the file to transfer.
Your computer must be authorized to your iTunes account. You may want to try playing back the file in QuickTime Player just to be sure it downloaded correctly.
If you're not a Safari 3.0 user, use your favorite alternate such as curl, wget, or so forth.
7. Rename. Give the file a more meaningful name than, for example, "mzi.rwgtaash.aac.p.m4p". Retain the .m4p extension.
8. Upload to the iPhone. Use your favorite method (iphoneinterface, sshfs, sftp, whatever) to copy the file to /Library/Ringtones on your iPhone.
9. Select the ringtone. On the iPhone, navigate to Settings -> Sound > Ringtone and select the new file. The ringtone will play back as you select it. Please note that some newer releases (including Nicole Scherzinger's Whatever U Like--thanks Drunk Dwarf) do not work as ringtones. I'm not sure why.

This trick will allow you to create files and folders without any name.Just follow the following
steps:1.Select any file or folder.
2.Right click on it, press rename or simply press F2.
3.Press and hold the alt key. While holding the Alt key, type numbers 0160 from the numpad.
Note: Type the numbers 0160 from the numpad, that is, the numbers present on the right side of the keyboard. Don't type the numbers which are present on top of the character keys.
4.Press Enter and the nameless file or folder will be created.
Reason: The file or folder that seems nameless is actually named with a single space.
But what if you want to create another nameless file or folder in the same directory ?For this you will have to rename the file with 2 spaces.
Just follow these steps below:
1.Select file, press F2.
2.Hold alt key and type 0160 from the numpad.
3.Release the alt key. Now without doing anything else, again hold alt key and press 0160.
4.Press enter and you will have second nameless file in the same directory.
5.Repeat step 3 to create as many nameless files or folders in the same directory.

Airtel is a leading mobile network operator of INDIA.I have just discovered a hack that gives 1000 Airtel to Airtel Promo minutes and the call rates being 40 paise for local mobile numbers for entirely one month for just Rs.250.This was due to a bug in the Airtel servers,
I wonder how many days this would last long.
So let me explain you the complete procedure in detail.Airtel have launched two new recharges called RC 150 and RC 100.
For RC 100 the call charges to all local mobiles would be 40 paise per minute and Recharging RC 150 will get us a promo Airtel to Airtel 400 minutes.
So here is the hack.....First recharge your mobile with RC 150 and then with RC 100.For RC 150 you will get Rs.400 of A-A talk time and recharging with RC 100 will make that call costs 40 paise.So that's it!!!
Now you can have 1000 minutes of Airtel to Airtel and also the call cost for other calls being 40 piase.The catch is that when i recharge with RC150 the Rs.400 of talk time i get will be costed Rs.1 per minute and the movement you recharge with RC100 even the A-A promo balance will be costing 40 Paise.
I have tried this for my Airtel mobile only in Andhra Pradesh.
I haven't tested in any other states.

Actually I found this trick one hour back.I want some files to be copyed ,but i donot have nero(B/S).I am thinkin what to do now.Then hey great idea strike into my mind , You also check it :::
1.First insert cd to drive.
2.Then select files to which is use to copy.
3.Then drag files in to CD Icon.
4.Now open CD Icon,on left side you can see write these files to CD (Top).
5.Now click it and after click next , now insert a empty Disc.
6.And click next, That's it.............
Now your Files will burn in to CD....
